The buy & build concept is a strategy pursued by investors to achieve a market-leading position by acquiring and integrating several practices or MVZs in a particular specialty or region. Synergies are often used to reduce costs, increase sales and improve quality. The buy & build concept is particularly widespread in dentistry, as there are many small and medium-sized practices here that are attractive to investors.
The business model of investors in the healthcare sector, particularly in the area of medical practices, is based on the strategic use of debt capital. Private equity firms take out large loans to finance the purchase of practices. This high proportion of debt financing enables them to offer high purchase prices and win the bid. The resulting debt is transferred to the acquired practices. The return for investors is generated when the restructured company is sold at a higher price. The profit generated flows back to the fund, which often pays little or no tax.276
